Terms & Conditions

1. Introduction

These Terms & Conditions ("Terms") govern your use of the MarketGenie website at marketgenie.uk and any web design, development, or related services we provide. By engaging our services or using this website, you agree to these Terms.

2. Services

MarketGenie provides web design, web development, copywriting, SEO, ongoing care and related digital services. Specific scope, deliverables, timelines, and fees for each engagement will be set out in a separate written proposal or statement of work agreed between us.

3. Quotations and acceptance

Quotations are valid for 30 days unless otherwise stated. A project is considered formally accepted when you confirm in writing (email is fine) and pay any agreed deposit.

4. Payment terms

Unless otherwise agreed, we invoice 50% of the project fee on acceptance and the remaining 50% on launch. Invoices are payable within 14 days. Late payments may incur statutory interest.

5. Client responsibilities

You agree to:

• Provide content, brand assets, and feedback in a timely manner
• Provide accurate information about your business and requirements
• Ensure you have rights to all materials supplied to us
• Pay invoices in line with the payment terms above

6. Intellectual property

On full payment of the agreed fee, ownership of bespoke design and code created specifically for your project transfers to you. We retain ownership of any pre-existing tools, frameworks, or methods we use in the work, and the right to display the project in our portfolio.

7. Revisions

Each project includes a defined number of revision rounds, set out in the proposal. Additional revisions beyond this will be quoted separately at our standard rates.

8. Timelines

We work to agreed timelines but cannot be held responsible for delays caused by late client feedback, unsupplied content, or third-party issues outside our control.

9. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim arising out of our services is limited to the fees paid by you for the relevant project. We are not liable for indirect, consequential, or special damages.

10. Termination

Either party may terminate a project for material breach by the other if not cured within 14 days of written notice. On termination, you pay for work completed up to that date.

11. Confidentiality

We treat any confidential information you share with us as such, and will not disclose it to third parties except as required to deliver the project.

12. Hosting and third-party services

Where we recommend or set up third-party services (e.g. Cloudflare, Formspree, Google Workspace), we are not responsible for the availability, performance, or terms of those services.

13. Governing law

These Terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
